Third-Party User Content Provider Agreement:

This Agreement (the "Agreement") is entered into on [Date] (the "Effective Date") by and between VIRTUAL LIVE MEDIA INTERACTIVE, LLC, a FLORIDA corporation (the "Merchant"), and [Content Provider's Name], an individual/entity with its principal place of business at [Content Provider's Address] (the "Content Provider").

**1. Prohibited Activities**

The Content Provider agrees not to engage in any activities that are illegal or violate the Merchant's content standards, as defined in the Merchant's terms of service and community guidelines.

**2. Consent for Content Depiction and Distribution**

The Content Provider shall obtain and retain written consent from all individuals depicted in the content, specific to the following areas:

a) Consent to be depicted in the content.
b) Consent to allow for the public distribution of the content and to upload the content to the Merchant's website.
c) If the content will be made available for downloading by other users, consent to have the content downloaded.

**3. Verification of Identity and Age**

The Content Provider agrees to verify the identity and age of all individuals depicted in the content to ensure that they are adults and capable of providing supporting documents upon request. The Content Provider shall maintain records of such verification and consent for a period as required by applicable laws.

**4. Intellectual Property Rights**

The Content Provider represents and warrants that they have all necessary rights, licenses, and permissions to upload or generate the content provided to the Merchant. The Content Provider grants the Merchant a non-exclusive, royalty-free, worldwide, and perpetual license to use, reproduce, distribute, modify, display, and perform the content for the purposes of the Merchant's platform and services.

**5. Indemnification**

The Content Provider agrees to indemnify and hold the Merchant harmless from any claims, damages, liabilities, losses, or expenses arising out of or in connection with any breach of this Agreement or the Content Provider's content.

**6. Termination**

Either party may terminate this Agreement for any reason by providing written notice to the other party. Upon termination, the Content Provider shall remove all of their content from the Merchant's platform.

**7. Governing Law**

This Agreement shall be governed by and construed in accordance with the laws of FLORIDA, without regard to its conflicts of laws principles.

**8. Entire Agreement**

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
